These Terms & Conditions ("Terms") govern the use of QNLAA, the QuickBooks Natural Language AR Agent (the "Service"), provided by Amagi Solutions Group, Inc. ("Amagi," "we," "us," or "our"). By subscribing to or using the Service, you ("Customer" or "you") agree to these Terms. If you use the Service on behalf of a business, you represent that you have authority to bind that business.
1. Description of the Service
QNLAA is a software-as-a-service accounts receivable assistant that connects to the Customer's QuickBooks Online account via Intuit's OAuth authorization. The Service allows authorized users to interact with their accounts receivable data in natural language — including by SMS text message — to answer billing questions, create and send invoices, send payment reminders, record payments, and generate AR aging reports. The Service is currently offered as a pilot-stage product and its features may change.
2. SMS Messaging Terms
- QNLAA sends and receives SMS messages with authorized users of each Customer account, including AR notifications, confirmations, and conversational responses.
- Consent to receive SMS messages is collected once per Customer (tenant) during onboarding, as part of the QNLAA service agreement, covering the authorized users the Customer designates.
- Message frequency varies based on account activity.
- Message and data rates may apply.
- Reply STOP at any time to opt out of SMS messages. Reply HELP for help, or contact hello@amagisolutionsgroup.com.
- Carriers are not liable for delayed or undelivered messages.
- Our collection and use of phone numbers and message content is described in the QNLAA Privacy Policy.
3. Accounts and Access
The Customer is responsible for designating authorized users, maintaining accurate contact information, and safeguarding access to its QuickBooks Online connection. The Customer must ensure that each authorized user is permitted to access the Customer's accounting data and to send and receive SMS messages on the phone number provided.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose, including sending unsolicited or deceptive messages;
- Attempt to access data belonging to another customer or tenant;
- Interfere with, disrupt, reverse engineer, or probe the Service or its infrastructure;
- Use the Service to transmit malware or content that infringes the rights of others;
- Resell or provide the Service to third parties without our written consent.
5. Customer Data and Ownership
As between the parties, the Customer owns its accounting data, customer records, and message content processed through the Service ("Customer Data"). The Customer grants Amagi a limited license to access, process, and store Customer Data solely to provide the Service. Amagi owns the Service, its software, and all related intellectual property. Upon termination, the Customer may request deletion of Customer Data as described in the Privacy Policy.
6. Third-Party Services
The Service depends on third-party platforms, including Intuit QuickBooks Online, Twilio, and Supabase. Your use of QuickBooks Online remains subject to Intuit's own terms. We are not responsible for outages, changes, or data handling failures of third-party platforms outside our reasonable control.
7. Fees and Termination
Subscription fees, billing terms, and any pilot arrangements are set out in the Customer's QNLAA service agreement or order form. Either party may terminate as provided in that agreement, and we may suspend or terminate access immediately for material breach of these Terms, non-payment, or misuse of the Service. Sections 5, 8, 9, and 10 survive termination.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." AS A PILOT-STAGE PRODUCT, THE SERVICE MAY CONTAIN ERRORS AND MAY BE MODIFIED, INTERRUPTED, OR DISCONTINUED. TO THE FULLEST EXTENT PERMITTED BY LAW, AMAGI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SERVICE IS AN ASSISTANT TOOL AND DOES NOT PROVIDE ACCOUNTING, TAX, OR LEGAL ADVICE; THE CUSTOMER REMAINS RESPONSIBLE FOR REVIEWING AND VERIFYING ITS FINANCIAL RECORDS.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AMAGI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE. AMAGI'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY THE CUSTOMER FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be brought in the state or federal courts located in Gwinnett County, Georgia, and the parties consent to their jurisdiction.
11. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
